01Scope and your agreement
These terms cover the Tactimetry, Inc. website, creative collaboration platform and related services. By accepting these terms when ordering or accessing the services, you agree to them on your own behalf or on behalf of the organization you represent. A demo request alone does not place a paid order.
If we sign an order form, statement of work, data-processing agreement or other service agreement with you, its specific terms take priority over conflicting provisions here. Our Privacy Policy explains how we handle personal information.
02Using Tactimetry
- You may use Tactimetry only if you are able to enter into a binding agreement.
- If you use Tactimetry on behalf of a company, you represent that you have authority to do so.
- You are responsible for keeping your account information accurate and secure.
03What Tactimetry provides
- Tactimetry helps you create, organize, and review marketing creative assets using AI workflows, software tools, and human review.
- Outputs may include images, videos, copy, prompts, creative concepts, and campaign recommendations.
- The service may change as we improve the product.
Depending on your agreed scope, services may include strategy, storyboards, production, lightweight editing, localization, variants, campaign publishing and ad-account performance management. Features, deliverables, timing and review rounds are defined in your order or written agreement.
04User content and permissions
- You may upload brand assets, product photos, logos, guidelines, briefs, creative references, and other materials.
- You represent that you have the rights needed to upload and use those materials.
- You grant Tactimetry permission to use uploaded materials as needed to provide the service, generate outputs, review assets, provide support, and improve product quality.
- You are responsible for ensuring your marketing claims, offers, and materials are accurate, lawful, and compliant.
05Generated outputs
- Subject to payment and these terms, you may use approved generated outputs for your own marketing purposes.
- AI-generated outputs may be imperfect, inaccurate, or similar to outputs generated for others.
- You are responsible for reviewing outputs before publishing or using them commercially.
- Tactimetry may reject or refuse requests that are illegal, infringing, misleading, unsafe, or otherwise inappropriate.
You retain your rights in materials you supply. Tactimetry retains its pre-existing software, workflows, templates and know-how. Any transfer of deliverable ownership, editable source files, third-party licenses or broader usage rights is governed by your written agreement. Nothing here grants rights that we or you do not hold, or guarantees that AI-generated material is copyrightable or exclusive.
06Approvals, publishing and performance management
You designate the people who may approve creative, give instructions and authorize account access. We publish or make campaign changes only within the authority, budget and approval process agreed with you. Tell us promptly if that authority changes, and use platform permissions rather than sharing account passwords where possible.
You remain responsible for the accuracy of product information, substantiation of advertising claims, required disclosures and rights to use supplied materials. We remain responsible for performing the services we have agreed to provide. Platform policies, auction conditions and other factors may affect delivery or availability.
Advertising spend, platform fees and external production or licensing costs are separate from our service fees unless expressly included in writing. Changes to approved scope, spend or deliverables should be agreed before execution.
07No performance guarantee
- Tactimetry does not guarantee any specific advertising result.
- We do not guarantee ROAS, CPA, CTR, conversions, revenue, profitability, audience response, or approval by platforms like Meta, TikTok, Google, or Instagram.
- Any creative strategy, recommendation, or analysis is provided for informational and production-support purposes.
08Subscriptions, payments, and cancellation
- Paid plans, retainers, or project fees will be described at checkout, in an order form, invoice, or written agreement.
- Payments are due according to the applicable plan or agreement.
- Unless otherwise stated, fees are non-refundable once work has begun or services have been delivered.
- You may cancel according to the terms of your plan or agreement.
Creative Sprint is offered as a one-off project. Partnership is offered on a 12-month contract. You may cancel at any time during the first six weeks of your Partnership. If you do not cancel within that period, the contract continues for the remainder of the 12-month term, subject to the termination provisions in your signed agreement. Your order or signed agreement sets out how to give cancellation notice, when cancellation takes effect and any amounts due. Stopping use does not by itself cancel a contracted commitment. Nothing here overrides a mandatory statutory refund or cancellation right.
09Acceptable use
You may not use Tactimetry to:
- Violate laws or platform policies.
- Infringe intellectual property or publicity rights.
- Create deceptive, fraudulent, or misleading content.
- Upload materials you do not have the rights to use.
- Interfere with or abuse the service.
- Attempt to reverse engineer or otherwise misuse the platform.
10Third-party services
- Tactimetry may rely on third-party services for hosting, storage, payments, analytics, AI generation, and integrations.
- Third-party platforms may have their own terms and policies.
- We are not responsible for changes, outages, or decisions made by third-party platforms.
11Service availability
- We try to provide a reliable service, but we do not guarantee uninterrupted availability.
- Features may change, be added, or be removed over time.
12Limitation of liability
- To the maximum extent permitted by law, Tactimetry is not liable for indirect, incidental, special, consequential, or lost-profit damages.
- Our total liability is limited to the amount paid to Tactimetry for the service giving rise to the claim during the previous three months, unless a separate written agreement says otherwise.
These exclusions and limits apply only where permitted by law. They do not exclude liability that cannot legally be limited, including fraud or other liability protected by mandatory law. Any different allocation in a signed service agreement takes priority.
13Termination
- We may suspend or terminate access if you violate these terms, fail to pay, create risk for the service, or use the service inappropriately.
- You may stop using the service at any time.
Suspension should be proportionate to the issue. Where reasonably practicable, we will explain the reason and give an opportunity to resolve it. Outstanding payment obligations and provisions intended to survive termination remain applicable. Contact us about retrieving your deliverables or deleting personal information when an engagement ends.
14Questions and disputes
Please contact legal@tactimetry.com first so we can try to resolve a concern. Any governing-law, jurisdiction or dispute-resolution provision in your signed service agreement applies. These website terms do not introduce a separate arbitration requirement or waiver of mandatory legal rights.
15Changes to these terms
- We may update these terms as Tactimetry evolves.
- If changes are material, we'll give reasonable notice.
